1. Introduction

Welcome to Secure Cloud Networks. These Terms of Service ("Terms") govern your access to and use of our website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

2. Using Our Services

You must follow any policies made available to you within the Services. You may use our Services only as permitted by law. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

3. Service Level Agreements

Certain Services may be covered by Service Level Agreements (SLAs) that specify our commitments regarding uptime, availability, and support response times. These SLAs form part of our agreement with you when you purchase the applicable Services.

In the event of any conflict between these Terms and an applicable SLA, the terms of the SLA will control with respect to the subject matter of that SLA.

4. Data Security and Privacy

We implement and maintain reasonable administrative, technical, and physical safeguards designed to protect the confidentiality, security, and integrity of your data. We process your data in accordance with our Privacy Policy.

You retain all rights, title, and interest in and to your data. We will not access or use your data except as necessary to provide the Services, as otherwise authorized by you, or as required by law.

5. Compliance with Laws

Both parties agree to comply with all applicable local, state, national, and international laws and regulations in connection with the use of the Services, including without limitation, all applicable export control laws and regulations.

You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services.

6. Confidentiality

Each party agrees to protect the other party's Confidential Information with the same standard of care it uses to protect its own Confidential Information, but in no event less than a reasonable standard of care. Confidential Information shall include all non-public information disclosed by one party to the other, including but not limited to technical information, business plans, and customer data.

7. Fees and Payment

You agree to pay all fees associated with the Services as set forth in the applicable order form or pricing page. Unless otherwise specified, all fees are quoted in U.S. dollars and are due upon invoice receipt.

We may change our fees at any time; however, any price changes will be communicated to you in advance. If you continue to use the Services after a price change takes effect, you agree to pay the updated fees.

8. Limitation of Liability

To the maximum extent permitted by law, in no event will Secure Cloud Networks be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Secure Cloud Networks and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your violation of these Terms.

10. Modifications to Terms

We may modify these Terms from time to time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco, California, and you hereby consent to personal jurisdiction and venue therein.
